Job Title: Corporate Lawyer

Position Type: Full-time

Job Summary: We are seeking an experienced and dynamic Corporate Lawyer to join our legal team. The ideal candidate will provide legal counsel on a wide range of corporate matters, ensuring that our operations comply with laws and regulations. This role involves managing mergers & acquisitions, corporate governance, contract negotiations, regulatory compliance, risk management, and dispute resolution.

Primary Responsibilities :

Key Responsibilities:

  1. Corporate Governance:

    • Provide legal advice to the board of directors and senior management on governance issues, corporate policies, and internal controls.
  2. Mergers & Acquisitions (M&A):

    • Manage legal aspects of mergers, acquisitions, divestitures, and joint ventures.
    • Conduct due diligence, negotiate contracts, and ensure compliance with relevant laws and regulations.
  3. Contract Negotiation and Drafting:

    • Draft, review, and negotiate various contracts, including employment agreements, supplier contracts, service agreements, and NDAs.
  4. Compliance and Regulatory Matters:

    • Ensure company operations comply with laws and regulations such as securities laws, labor laws, data protection, and intellectual property laws.
  5. Risk Management:

    • Identify potential legal risks in business operations and propose strategies to mitigate them.
  6. Securities and Finance Law:

    • Provide guidance on financial transactions, securities offerings (IPOs), and compliance with stock exchange rules.
  7. Dispute Resolution:

    • Manage corporate disputes, including litigation, arbitration, and alternative dispute resolution methods.
  8. Legal Research and Advisory:

    • Stay updated on corporate law changes, regulations, and industry standards.
    • Advise management on various corporate legal issues.
  9. Corporate Restructuring:

    • Assist in corporate restructuring efforts such as bankruptcy, liquidation, or reorganizations.
  10. Intellectual Property (IP) Management:

    • Oversee IP assets, including trademarks, patents, and copyrights, and handle legal disputes related to IP.

Qualifications:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Must be admitted to the bar in the jurisdiction of practice.
  • Experience: Several years of corporate law experience, particularly in mergers & acquisitions, securities law, or corporate governance is preferred.

  • Strong negotiation and communication skills.
  • Excellent analytical and research skills.
  • Ability to manage multiple tasks and projects simultaneously.
  • Deep understanding of corporate, securities, and contract law.
  • Strong decision-making and problem-solving skills, especially under pressure.

Preferred Attributes:

  • Strong business acumen with an understanding of corporate operations.
  • Experience advising public companies or large corporations.
  • Ability to work collaboratively with other departments (e.g., finance, compliance, HR).
